Additional Terms for Sellers

These Additional Terms apply to Sellers.

1. Fees

Sellers are subject to the Charges Schedule set out at the end of these Additional Terms.

Charges payable to MediaEquals Limited in relation to trading on the Site are paid by a Seller to MediaEquals Limited upon the success of a Completed Transaction, i.e. as soon as a sale is agreed, not when a media lot is published, whether completed online or offline. Charges will be payable by the Seller where a Media Lot is accepted online on the Site by a Buyer in either of the following ways: (1) in the case of a BuyNow transaction, the Buyer has accepted the Media Lot at the price by clicking the order button and clicking the confirmation box in the pop up window/on the next web page (2) in the case of an Auction transaction, a Buyer makes a bid which meets or exceeds the Reserve Price and is the Successful Bidder or (3) where a Buyer makes an Offer which is accepted by the Seller (or which is negotiated and then accepted by both parties).

In the event that a Buyer sees a Media Lot for sale on the Site and contacts the Seller using a different medium, for example, over the telephone, and a Completed Transaction is made off Site and/or offline (an 'Off Site Completed Transaction'), charges will be payable by the Seller to MediaEquals Limited as though the transaction had been concluded on the Site. The Seller is obliged to notify MediaEquals Limited of any Off Site Completed Transaction. Each Media Lot has an individual reference number. Failure to disclose any such Off Site Completed Transaction may result in the Seller's account with the Site being suspended or terminated.

Seller agrees to pay charges to MediaEquals Limited as per the Charges Schedule below.

MediaEquals Limited may amend the charges structures by posting such amendment in the User Agreement. Any changes to the charges structures in the Charges Schedule shall be effective fourteen (14) days after posting on the Site and/or Seller being informed of such changes in writing by MediaEquals Limited.

2. Invoicing, Payment of the Charges and Interest on Late Payments

MediaEquals Limited will automatically invoice the Seller for any on Site Completed Transaction on the same day of the on Site Completed Transaction. MediaEquals Limited will automatically invoice the Seller for any Off Site Completed Transactions of which it has been advised on the fourteenth day of each calendar month. MediaEquals Limited will send a Statement to the Seller at the end of month for all Completed Transactions (whether on Site of off Site) that have occurred on the Seller's account.

Settlement of the invoice is due by the 14th day after the month end in which the Completed Transaction took place (the 'Due Date').

Acceptable methods of payment to MediaEquals Limited include cheques made payable to MediaEquals Limited and wire/bank transfers to MediaEquals Limited's bank account (please contact for details).

In the event that a Seller fails to pay the charges to MediaEquals Limited by the Due Date, interest will commence accruing on the day after the Due Date at a rate of 2% above the NatWest base rate until full payment has been made.

If a Seller fails to make any due payments to MediaEquals Limited within the due payment term, MediaEquals Limited may suspend or terminate the Seller's account with the Site and prohibit the Seller from re-registering.
Further, MediaEquals Limited reserves the right to commence legal proceedings against a Seller for any non-payment of monies owing.

3. Listing Media Lots for Sale on the Site

MediaEquals Limited encourages Sellers to be diligent and to exercise care when posting Media Lots for sale on the Site, as once a Completed Transaction has taken place, the Media Lot has been sold and the Seller will be bound to fulfil his/her obligation to the Buyer in respect of the Media Lot and MediaEquals Limited in respect of the charges.

Sellers should, where possible, provide brief descriptions of Media Lots to be sold in the designated commentary boxes beneath the Media Lot for sale. Any descriptions of the Media Lots must be accurate.

In the event that particular advertisements will not be suitable for the any given Media Lot, the Seller must specify this in the designated commentary box beneath the Media Lot.

Sellers will be responsible for invoicing directly Buyers for any Completed Transactions. For the avoidance of doubt, MediaEquals Limited will not accept or process any funds, invoices or credit notes from Buyers; MediaEquals Limited is not an agent or collection agent for any Seller.
